B. Introduction & applicability

Introduction: this document describes the terms and conditions for the use of www.freelyran.com, freelyran.com, all subdomains, and the services provided by the company 'Het Kattenwasje,' registered in Belgium with business number BE1029.141.690. Named hereafter as 'company' or 'FreeLyran.' The aim is to include all relevant requirements based on Belgian–and thus European Union–common standards, while also including international structures for compliance due to the nature of our remote operation. In case of discrepancies, cultural preferences, or differences in interpretation, it is important to state that the laws and regulations of Belgium are leading and must be applied.
Applicability: the Terms of Service are applicable to all communication, offers, quotations, services, and invoices of FreeLyran and are accepted by clients and users through consent via online forms, are sent to the client with the quotations before the assignment, or can be requested via email at any moment. These Terms of Service are published and updated on www.freelyran.com/termsofservice.

C. Definitions

Affiliate marketing (AFM): the act of promoting products or services that are sold by other business entities.
Business consulting (BC): the act of serving and/or advising a business entity in various aspects of their operations.
Business entity: a commercial, non-government organization registered in the relevant chamber of commerce.

Client: an individual or business entity receiving services from the company.
Coaching (CO): the act of serving an individual or business entity with personal, professional, non-medical support.
Company: the registered business 'Het Kattenwasje.' Operator of freelyran.com.
Marketing (MA): activities related to bringing products or services to the commercial market, or the commercial department within a business entity responsible for marketing and advertising.
Offer: a clear, definitive proposal made by one party to another indicating a willingness to enter into a legally binding agreement on specific terms. A signed offer forms an enforceable contract.
Quotation: a formal, legally non-binding offer by a seller to provide specific goods or services at a set price.
Sales (SA): the act of selling a product or service for commercial purposes, or the commercial department within a business entity responsible for selling products and/or services.
Scope of Work: a specific and detailed description of the assignment or services to be delivered to the client.
User: a visitor of the website freelyran.com or respective subdomains.

D. Scope of services & deliverables

D.1. Services provided

FreeLyran provides remote, mostly online services in 4 main categories: business consulting (BC), coaching (CO), sales (SA), marketing (MA). Throughout these terms of service, differences between these categories have been marked with their applicable abbreviation when needed. For every category, FreeLyran provides a list of dos and don'ts in order to describe both the service possibilities and their respective limitations. These can only be used as general guidelines. Specific outputs are determined and described in offers and/or quotations that the client receives before the start of the assignment.

Business Consulting: general advise, reporting, software implementation, administrative support, strategic guidance, planning, research, analysis, interpretation, documents, letters, recruitment, Office programs like Word, and Excel, automation building, process optimalization, and complex problem solving.

Do not: Legal advice, financial advise.

Coaching: moral support, goal setting, life, career, guidance, training, teaching new skills, providing accountability, guidance, and general help.

Do not: therapy, mental health counseling, medical treatment, or legal/financial.

Sales: targets, KPIs, products, services, sales coaching/training, pipeline management/creation, warm leads, cold leads, inbound, outbound, support, telephone, email, direct, and affiliate sales.

Do not: illicit substances, illegal activities/practises, adult content, real estate, medication, or financial products/services.

Marketing: online, content, social media, paid ads, websites, funnels, copywriting, blogs, SEO (basic tasks), strategy, nurturing, chat widgets, landing pages, and affiliate marketing.
Do not: marketing like billboards, magazines, and newspapers.

D.2. Deliverables

Due dates and deadlines: specific targets, deadlines, due dates, and milestones are determined in cooperation with the client. A client can express their timeline needs before the start of the assignment. When specific milestones are set and agreed upon, they will be included in the scope of work description in the offer.

Acceptance and review: as a standard practice, the client shall review, approve or reject the work as described in the scope of work no later than 7 days after delivery. If Freelyran does not receive the corresponding feedback, the work will automatically be approved after 7 calendar days.

Revisions and modifications: as a standard practice, when applicable, 2 revisions are included in the base fee. Additional fees may apply for further reviewing beyond the scope of work, or for additional revisions beyond the standard.

Delays: in case the production, services, or delivery of goods are delayed, the client will be notified as soon as the delay becomes apparent. Price deductions cannot be guaranteed ; however, FreeLyran will prioritize any delayed work in order to resume the normal schedule of delivery.

Note: changes to standards are specified in the offer and/ or the invoice, and must be approved by both the client and Freelyran.

D.3. Exclusivity

Freelyran and clients reserve the right to contract with other parties without constraints, unless non-disclosure agreements, non-compete clauses, or other specific limiting agreements overrule this freedom.

E. Financial terms

E.1. Fees, rates & expenses

The rates vary depending on the specific task, and/or service agreement. The company offers a variety of services. Most of these services are calculated on an hourly basis, or a relevant associated flat-fee for larger projects. The standard rates exclude; sales tax and other expenses like travel, specific software demands, and subscriptions. Any upfront deposits, and/or payments must be made before the start of the assignment ; these are non-refundable.

E.2. Offers & quotations

Before the start of any; assignment, project, task, or session , a signed offer must be returned to FreeLyran. Quotations are not legally binding contracts. These are informational only. Any such document is titled: “ Quotation. “ Signed offers are legally binding, and form an enforceable agreement. Any such document is titled: “ Offer. “ Both offers and quotations clarify the specific fees, rates, taxes, and expenses for a given assignment.

E.3. Billing & invoicing

The standard billing schedule is monthly. The “ invoice date “ is the date on which the invoice was created. The “ Invoice due date “ is the date by which the payment must be received by Freelyran . Tax rates are mentioned, and specified on the invoice. In the case of or returned payments, clients receive a “ credit note “.

E.4. Payment terms

Payments are made in Euros unless the client and FreeLyran agree on other terms. Payments can be made through: wire transfer, PayPal, Wise, Stripe or in cash. The standard due date for our invoices is 30 days. If business entities need an extension of due dates for operational reasons, please specify this with your request before the start of the assignment.

E.5. Pricing

If FreeLyran publishes standard prices, they will be sent to customers or published on freelyran.com via a price list. Currently all quotations and offers are calculated individually.

E.6. Compensation structure

In this section , the company describes a general compensation structure for different activities, which can be changed at any moment at the discretion of the company.

Consulting (BC): hourly fee, flat fee or per minute phone consultations.
Coaching (CO):
hourly sessions with a 20% non-refundable advance payment.
Sales & Marketing (SA, MA):
hourly rate, flat fee, task-based fee, or commission based (SA)
Affiliate Marketing (AFM):
commission based only.

E.7. Refunds

In the case of task-based assignments, customers can receive a full, or partial refund after two work reviews have been declined. Any refund request must be completed with a clear specification stating; why the refund request is made and the reason for declined work. Any digital products published on the website are non-refundable, as well as non-refundable deposits.

E.8. Late payments & collection

An initial reminder is sent to customers once the invoice due date expires. (invoice + 30 days). After the second reminder, a standard 4% per year interest rate applies to all late payments, and the collection process will be initiated.

E.9. Taxes

As the company is based in Belgium, EU, the Belgian tax laws apply. The standard sales tax for most activities within FreeLyran in Belgium is set at 21% for consumers and businesses. For business entities within the EU, 'VAT reverse charge' (0%) applies ; outside the EU the standard is VAT zero-rated (0%). Specific rules apply for consumers ; these tariffs will be calculated individually, and noted on the offer.

F. Intellectual Property (IP) rights

F.1. Ownership

Any intellectual property created during projects, tasks, assignments, or sessions, content published on freelyran.com and its sub-domains, FreeLyran's brand assets, FreeLyran ' s marketing campaigns like emails, advertisements, and other commercial publications is owned by FreeLyran. This includes, but is not limited to; proprietary methodologies (BC, CO), pre-existing intellectual property, worksheets, guides, videos, presentations, content in any form, strategies, and databases. No intellectual property owned by FreeLyran can be sold, used, copied, or distributed without the written consent of the company.
Materials, creations, content, products of any kind that are sold to clients specifically become the intellectual property of the client, only after payment for the products and/or services is made in full. If there is any doubt about certain IP rights, please contact the company in advance before using FreeLyran's materials.

F.2. Third-party rights & licensing

CO: The client can use the materials produced by FreeLyran under licensing, as specified in the license agreement, which is included in the offer. When third-party licensing is required, for example stock photos, specific software or fonts (MA, SA), specific agreements will be made to determine which party owns the IP rights, depending on the systems we use together.

G. Relationship of the parties

G.1. Roles

Coaching (CO): Individual coaching requires clear agreements between parties, which will be confirmed in writing before the start of the first session. An intake may be required for this stage. The coach (FreeLyran) will act as a guide, mentor, or teacher, in order to provide personal growth, help, and accountability to the client. The client's obligations are; attending sessions on time and providing all necessary materials and information for the session to be conducted.

G.2. Responsibilities

The client's responsibilities are; providing necessary product information, approving materials, timely communication, necassary access to software, or platforms like CRM, and analytics. The client is responsible for the accuracy of any claims, logos, or information they provide. (BC, SA, MA).
Affiliate marketing clients are responsible for providing and maintaining the affiliate tracking software, generating performance reports, providing brand guidelines, and company rules regarding how their trademarks, logos, and promotional materials can be used, to set out the specific limitations for each individual campaign regarding the use of coupons, paid advertising, etc. (AFM).

Responsibilities of FreeLyran: The company shall adhere to these terms of service, the terms of service of the other party, and third party providers. FreeLyran will provide timely communication about the project, assignment, task, session, or any information that is deemed important, or required. Whenever there are demands that the company cannot adhere to, the client will be notified as soon as practical. FreeLyran shall comply with the required performance standards, non-interference, and confidentiality protections.

Important statement: Due to the remote nature of these operations and the global requirements regarding trade, marketing, advertising, sales, etc. , it is important to state that any breach of standards, laws, procedures or guidelines set out by the relevant authorities is prohibited. It is the shared responsibility of both the company, and our clients to notify and inform each other about any local requirements that may not be clear or unknown to either party, in order to prevent operations outside the scope of the law.

G.3. Approvals

The standard term for approval is 7 days after the work by Freelyran is submitted. In case a review of work is required, the client shall provide the necessary feedback in order for the review by Freelyran to meet the standard. The standard term for approvals of reviews is 7 days. If, for operational reasons, the 7 day term is undesirable please notify Freelyran in advance.

G.4. Independent contractor status

Freelyran acts as an independent contractor and not as an employee. For specific information about independent agents in Belgium , see chapter: 'L. Independent commercial agent (Belgium specific)'.

G.5. Subcontracting

The company is allowed to hire and assign tasks to third parties. Specific limitations on subcontracting can be set by the client in advance, and will be noted in the offer.

G.6. Outcome disclaimer

Coaching (CO): FreeLyran makes no guarantees of success, or warranties regarding; specific outcomes, or any other achievements. The client understands that coaching is not therapy, counseling, medical, legal , or financial advice. Any information provided is for informational, and educational purposes only. Individual results may vary.

H. Privacy & compliance

H.1. Data protection

Sensitive information provided by the client, or Freelyran, whether it is personal or professional, shall be kept strictly confidential before, during, and after the contract unless the client provides consent for disclosure, or if required by law. Sensitive information includes, but is not limited to , private details, sensitive business information, client lists, trade secrets, strategies, or any other information that can damage the client, their business, or Freelyran if disclosed.

H.2. Non-disclosure

Specific non-disclosure agreements may be formed between Freelyran and its clients as a broader clause of confidentiality. These are not outlined in the terms and conditions.

H.3. Duration

General confidentiality is set to 3 years after the end of the last assignment, or the contract end date, while trade secrets are kept confidential indefinitely.

H.4. GDPR & AVG

Processing of personal data: FreeLyran is bound to compliance with GDPR, and AVG regulations due to the company 's location in Europe. Specific conditions on how the company processes personal data are detailed in the Privacy Statement. This document is published on the website: freelyran.com/privacy.

I. Agreement & contract terms

I.1. Terms

Contract terms may vary depending on the assignment, task or session. These terms can be modified based on the needs of the client. FreeLyran offers flexible work, ranging from one-time jobs to one-year contracts.

I.2. Session logistics

Format: Sessions are conducted via telephone, in-person , or video conference platforms like Teams, or Zoom.

Coaching (CO):
Duration: Typically a session lasts for 30 minutes, or 60 minutes, but can be adjusted based on the needs of the client.
Frequency: Sessions can occur at any desired interval, but are typically once, or twice per week, or per month.

Business Consulting (BC):
Duration: Consulting sessions may vary between; per minute or per hour depending on the contract, and the needs of the client.
Frequency: Consulting sessions can be scheduled with fixed planning or on call support depending on the needs of the client.

Note: specific session logistics are outlined in the offer.

I.3. Contract duration

Duration agreements are outlined in the offer in accordance with the needs of the client.

I.4. Project alterations

Any alteration must be requested and approved by Freelyran before it takes effect. Generally , the company approves reasonable alterations for the purpose of flexibility. FreeLyran may charge a fee for alterations that require a significant rescheduling.

I.5. Cancellation

The company must be notified at least 7 days before the start of the contract. Timely cancellations are free of charge. Late cancellation may result in a late cancellation fee of 10% of the contract's value.

I.6. Termination

Termination for cause: either party has the right to immediate termination if the other party breaches the contract or engages in illegal activity.
Termination for convenience: any agreement or contract can be terminated by either party with a 30 days ' written notice.

I.7. Right of withdrawal

Any contract can be terminated under the right of withdrawal within 14 days after purchase, or after the offer for the services of FreeLyran is signed. The right of withdrawal is no longer applicable for digital products as soon as the product is downloaded.

J. Legal & lawful

J.1. Warranties & standards of care

Business Consulting (BC): consulting services are provided with professional skill, and standards of care. In case the assignment contains elements that cannot be guaranteed, the company will notify the client as soon as practicable.
Coaching (CO): Terms of Service reference chapter: 'G.6. Outcome disclaimer'.
Marketing (MA): the company will use its best efforts to achieve the desired outcomes, and results, however FreeLyran cannot guarantee specific rankings, traffic numbers, or sales as these factors depend on algorithms, search engines, and third party services, which are outside the company's control.
Sales (SA): guarantee of performance metrics, and KPIs that the client established before the start of the assignment.

J.2. Liability

Coaching (CO): in accordance with the Terms of Service chapter: 'G.6. Outcome disclaimer' the company cannot be held liable for any indirect damages, or business losses incurred by applying the coaching principles.

The company holds a general liability insurance during the contract. (BC, MA, SA).

J.3. Indemnification & liability cap

The company's liability is limited to 100% of the total fees paid by the client under the contract.

J.4. Conflict resolution

The company must be informed as soon as practicable regarding any complaints about the services of the company, the company, third parties , or clients. Any damages must be reported within two weeks of the occurence, and the company must be allowed to investigate any damage claims freely, and without obstruction. As much as we would love to avoid complaints, we understand that sometimes things just go wrong. FreeLyran aims to resolve complaints within 30 days after submission. Please contact us via the contact form on our website and clearly state: 'complaint' in order to receive priority handling of your message.

J.5. Jurisdiction

In case of dispute, the Flemish Arrondissement in Belgium is responsible for the handling of legal interpretation of the contract. The laws of Belgium apply to these Terms of Services.

K. Force majeure

In case of force majeure the continuation of contracts may be obstructed or contracts may be terminated altogether. The company cannot be held liable for damages, delays, or cancellations in the event of force majeure of the following categories: Earthquakes, tsunamis, floods, wildfires or other natural disasters. War, acts of terrorism, civil unrest, riots, strikes, or other man-made political or social disruptions. Military action, embargoes, sanctions, tariffs, lockdowns, or other government interventions. Public health emergencies, power grid failures, or any other essential utility and infrastructure disruptions.

L. Independent commercial agent (Belgium specific)

Independent commercial agents handling contracts for clients are protected by strict economic rights. For long term assignments these laws come into effect, and they protect both FreeLyran and its subcontractors against economic exploitation. Please refer to Articles X.1 to X.25 of the Code of Economic Law in Belgium.

M. Consumer protection against unfair terms in contracts

Directive 93/13/EEC serves as a reference for consumer rights protection within the EU.
